While we are licensed mental health professionals, the information provided on the Site is for general informational and educational purposes only and is not intended to replace individualized mental health treatment, diagnosis, or crisis services.

You should not rely on Site Content as a substitute for professional mental health care. Use of this Site does not establish a therapist-client relationship unless and until such a relationship is formally established through intake and consented services.

We do not offer any warranties, of any variety, regarding the Site, Services, and/or Materials, in any way. The Site, Services, and/or Materials are offered “AS IS” and without warranties of any kind, neither express nor implied, to the extent permitted by law.

We will do everything within our ability (and within reason) to ensure your satisfaction. Refunds will not be issued for counseling services already rendered. 18. ARBITRATION CLAUSE:

If you have any complaint or should any issue arise in the use of the Site or Roots & Branches Counseling, LLC’s Services, and/or Materials, please contact us directly first by emailing rootsandbranchesfl@gmail.com.

However, if we are unable to amicably resolve your dispute in that manner, you agree that you and Roots & Branches Counseling, LLC shall submit your dispute to binding arbitration with the American Arbitration Association, before an arbitrator that is mutually agreed upon, in accordance with the American Arbitration Association’s (“AAA”) rules.

By agreeing to this term, you hereby agree and understand that you’re waiving your right to a jury trial in court, which would otherwise be available to you if not for this Arbitration Clause. Should any arbitration hearing need to be held, it shall be held within 50 miles of Englewood, Florida.

The arbitrator shall have authority to award any remedy or relief otherwise available under applicable law, subject to the limitations of liability contained in these Terms & Conditions. Any arbitration award shall be final and binding and may be entered in any court of competent jurisdiction.

19. Consent to Governing Law:

These Terms & Conditions, and any dispute arising out of it, shall be governed by the laws of the State of Florida.

20. Consent to Jurisdiction:

You hereby irrevocably consent to the exclusive jurisdiction and venue of the state courts located within the State of Florida and the United States District Court for the Middle District of Florida in connection with any matter arising out of these Terms & Conditions, Privacy Policy, Disclaimer, or your use of the Site, Services, and/or Materials.

21. Consent to Service:

You hereby irrevocably agree that process may be served on you in any manner authorized by the Laws of the State of Florida for such persons, and you waive any objection which you might otherwise have to service of process under the laws of the State of Florida.

22. Payment & Purchases:

When you become a client of Roots & Branches Counseling, LLC, you agree to be financially responsible for services provided. Billing and payment processing are administered through a secure third-party practice management platform, including TherapyNotes. By keeping a payment method on file, you authorize Roots & Branches Counseling, LLC to charge that method for services rendered and any applicable fees in accordance with our policies. Receipts and billing records are not automatically issued but are available upon request and will be provided electronically.

If your payment method fails, is declined, or payment remains outstanding, we reserve the right to suspend future appointments, services, or access to certain Materials until the outstanding balance is resolved. Please note, in the event your payment method is declined at any time, you remain financially responsible for all fees associated with services rendered.

Fraudulent or improper chargebacks are strictly prohibited. In the event of a chargeback, payment dispute, or reversal initiated by you or your financial institution, Roots & Branches Counseling, LLC reserves the right to dispute the chargeback, recover any outstanding balances owed, suspend future services, and pursue any lawful remedies available for recovery of unpaid amounts, including collection efforts where permitted by law.

Payment processing companies may have different privacy policies and practices than we do. We are not responsible for the policies of the payment processing companies. As with any online purchase, there are circumstances beyond our control which may compromise your credit card or payment method. We are not liable or responsible for any of those circumstances.

To the fullest extent permitted by law, Roots & Branches Counseling, LLC shall not be responsible for damages, losses, or liabilities arising from the actions, security failures, or practices of third-party payment processors or financial institutions.

23. Limitation of Liability:

To the fullest extent permitted by law, Roots & Branches Counseling, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website or receipt of counseling services, even if advised of the possibility of such damages.

To the extent permitted by law, the total liability of Roots & Branches Counseling, LLC for any claim arising out of or relating to services provided shall not exceed the total amount paid by you for the services giving rise to the claim.

Nothing in this section shall limit liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or other liabilities that cannot legally be waived.

24. Defense & Indemnification:

You shall, at all times, indemnify, defend, and hold harmless Roots & Branches Counseling, LLC, Brittany Essig, and all of our shareholders, officers, members, affiliates, contractors, subcontractors, directors, assignees, employees, and licensees from and against all losses, damages, injuries, delays, deaths, lost profits, and expenses arising out of any proceeding (a) brought by either a third-party or by Roots & Branches Counseling, LLC and Brittany Essig (b) arising out of your breach of your obligations, representations, warranties, or covenants under these Terms & Conditions or the Privacy Policy; and (c) arising out of any alleged breach or negligence said to have been committed by us.

25. Termination of Your Use:

At our sole discretion, we are permitted to terminate or restrict your use or access to the Site, Services, and/or Materials if you abuse, violate, or breach any of these Terms & Conditions, Privacy Policy, Disclaimer, or any other terms to which you have agreed to.

Secure clinical, billing, scheduling, and intake-related communications may be conducted through approved third-party platforms utilized by Roots & Branches Counseling, LLC, including TherapyNotes.
